Terms and Conditions

1 Interpretation

1.1 Conditions “Buyer” means the person who accepts a quotation of the Seller for the sale of the Services or whose order for the Services is accepted by the Seller. “Services” means the services of a foreign language teaching and interpreting service. “Seller” means Commercial Language Training Ltd of 1.2-1.3 Stancliffe House, Molyneux Business Park, Whitworth Road, Darley Dale, DE4 2HJ. “Conditions” means the standard terms and conditions of sale set out in this document.

2 Basis of Sale

2.1 The Seller shall sell and the Buyer shall purchase the Services in accordance with any written quotation of the Seller which is accepted by the Buyer or any written order of the Buyer which is accepted by the Seller subject in either case to these Conditions.

3 Orders

3.1 No order submitted by the Buyer shall be deemed to be accepted by the Seller unless and until confirmed in writing by the Seller’s authorised representative.

3.2 The quantity, quality and description of and any specification for the Services shall be as set out in the Seller’s quotation (if accepted by the Buyer) or the Buyer’s order (if accepted by the Seller).

3.3 Any order submitted by the Buyer shall be deemed ordered by a duly authorised person whether or not this shall be the case.

4 Price for Services

4.1 The price of the Services shall be the Seller’s quoted price.

4.2 The Seller reserves the right by giving notice to the Buyer at any time before performance of the Services to increase the price of the Services to reflect any increase in the cost to the Seller which is due to any fact beyond the control of the Seller.

4.3 The price is exclusive of any applicable Value Added Tax which the Buyer shall be additionally liable to pay to the Seller.

5 Terms of Payment

5.1 The Buyer shall pay the price of the Services within 30 days of the date of the Seller’s invoice.

5.2 If the Buyer fails to make any payment on a due date, then without prejudice to any other right or remedy available to the Seller, the Seller shall be entitled to charge the Buyer interest (both before and after judgement) on the amount unpaid at the rate of 4% per annum above Barclays Bank plc base rate from time to time until full payment is made.

5.3 If the Services supplied are of an intensive nature, the total fee shall be payable by the Buyer before commencement.

5.4 If a part of the Services (eg a weekly training session) is cancelled giving less that 24 hours’ notice, the full fee for the amount of Services cancelled shall be payable. In the case of intensive courses (including intensive one- or two-day courses), two weeks’ notice of cancellation must be given. Otherwise the full fee shall be payable. In the case of longer, weekly programmes, payment shall be made in advance for each batch of 10 lessons. If the whole programme is cancelled at any time, the payment for the current 10 lessons will not be refunded.

5.5 Any material supplied by the Seller in the course of providing the Services is strictly for the use of course delegates and shall not be used for any other purpose whatsoever.

5.6 The Buyer shall not approach the Tutor/Interpreter directly with a view to engaging his/her services at any time whatsoever or discuss financial arrangements with the Tutor/Interpreter.
